Thank you for choosing Nuvenu. To ensure a smooth experience for all users, we have established certain Terms of Service. Here's a breakdown of key terms and an overview of our approach:

 

  • Company: When we refer to "Company," "we," "our," or "us" in these Terms, we mean Nuvenu LLC.

  • Services: The term "services" encompasses the websites and mobile applications developed and maintained by Nuvenu LLC.

  • You: "You" or "your" pertains to individuals or organizations that possess an account with one of our services.

 

We may make updates to these Terms of Service ("Terms") in the future. All changes will be tracked, with typical adjustments aimed at enhancing clarity by linking to more detailed related policies. Whenever we implement significant modifications to our policies, we will update the date at the top of this page and take appropriate steps to notify account holders.

 

By utilizing our services, both presently and in the future, you are agreeing to abide by the most recent Terms. While there may be instances where we do not immediately exercise or enforce a particular right or provision as outlined in the Terms, this does not imply that we are waiving that right or provision. It is important to recognize that these Terms include limitations of our liability.

 

In the event of any violation of these Terms, we reserve the right to terminate your account. This statement is broad in scope and necessitates a substantial level of trust in our service. We strive to earn and maintain that trust by being transparent about our identity, operational processes, and by welcoming your feedback with an open-door policy.

 

Account Terms

As a user of our services, please be aware of the following account terms:

 

  1. Security Responsibility: You are accountable for maintaining the security of your account and password. The Company cannot and will not be held liable for any loss or damage arising from your failure to comply with this security obligation. We strongly recommend that all users set up two-factor authentication for an additional layer of security. In some of our services, two-factor authentication may be mandatory.

 

  1. Compliance with Use Restrictions: You may not use our Services for any purposes outlined in our Use Restrictions Policy, and you may not allow anyone else to do so either.

 

  1. Content and Activity: You are responsible for all content posted and activities conducted under your account.

 

  1. Human Users Only: Accounts must be registered by individuals and not by "bots" or other automated methods.

 

Please adhere to these terms to ensure a secure and responsible use of our services.

Payment, Refunds, and Plan Changes

  1. If you are using a free version of one of our Services, it is really free: we do not ask you for your credit card and - just like for users who pay for our services - we do not sell your data.

 

Cancellation and Termination

  1. You are solely responsible for properly canceling your Nuvenu account. Within Nuvenu, we offer a straightforward, no-questions-asked cancellation link. Instructions for canceling your account can be found in our Cancellation Policy. Please note that sending an email or making a phone request to cancel your account does not automatically constitute a cancellation. If you require assistance with canceling your account, our support team is always available to help.

 

  1. Upon canceling your account, all of your content will become inaccessible from Nuvenu immediately. Within 30 days, all content will be permanently deleted from our active systems and logs. Within 60 days, all content will be permanently removed from our backups. Once this information is permanently deleted, it cannot be recovered. If you wish to retain any data, please export it before canceling your account.

 

  1. We retain the right to suspend or terminate your account and deny any current or future use of our Services for any reason, at any time. Suspension means that you and any other users associated with your account will be unable to access the account or any of its content. Termination involves the deletion of your account, your access to your account, and the forfeiture of all content within it. We also reserve the right to deny the use of our Services to anyone, for any reason, at any time.

 

  1. Please be aware that verbal, physical, written, or other forms of abuse, including threats of abuse or retribution, directed towards a Company employee or officer, will result in immediate account termination. We value respectful and constructive communication within our community.

 

Modifications to the Service and Prices

  1. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.

 

Uptime, Security, and Privacy

  1. Your use of the Services is undertaken at your own risk. We provide these services on an "as is" and "as available" basis. For most of our Services, we do not provide service-level agreements (SLAs).

 

  1. We retain the right to temporarily disable your account if your usage substantially surpasses the average usage of other Service customers. Naturally, we will make an effort to contact the account owner before taking any action, except in unusual instances where such elevated usage might detrimentally affect the performance of the Service for other users.

 

  1. We implement numerous safeguards to protect and secure your data, including backup systems, redundancies, and encryption protocols. We strictly enforce encryption for data transmitted over the public internet. However, in certain rare instances, your data may be transmitted through our network without encryption. For comprehensive details, please consult our Security Overview, and if you encounter a security incident or threat, refer to our Security Response page for guidance on how to report it. Your data security remains our top priority.

 

  1. When you utilize our Services, you entrust us with your data, and we take that trust seriously. By using our Services, you agree that Nuvenu may process your data as outlined in our Privacy Policy and for no other purpose. Human access to your data is limited to the following scenarios:

 

  • Support Requests: To assist you with support requests that you make, we may access your data. However, we will always seek your explicit consent before accessing your account for this purpose.

 

  • Error Resolution: In rare instances when an error interrupts an automated process, we receive automated alerts. Whenever possible, we strive to rectify the issue and restart automated processing without accessing any personal data. However, in exceptional cases, we may need to access a minimal amount of personal data to resolve the issue. Our priority in such cases is to identify and address the root cause to prevent future errors.

 

  • Security Safeguards: We may review logs and metadata as part of our efforts to maintain the security of your data and the overall Services. If necessary, we may access accounts during the investigation of an abuse report to protect the integrity of our platform.

 

  • Legal Compliance: To the extent required by applicable law, and as a U.S.-based company with all data infrastructure located in the U.S., we will only retain or share customer data if compelled to do so by a U.S. government authority with a legally binding order or proper request under the Stored Communications Act. In cases of emergency requests, we may also disclose data. If a non-U.S. authority seeks our assistance, our default stance is refusal unless the order has been approved by the U.S. government through established mutual legal assistance treaty or agreement mechanisms. If Nuvenu undergoes a tax audit, we will share only the essential billing information necessary to complete the audit.

 

We take the responsibility of safeguarding your data seriously and adhere to strict guidelines and legal requirements in our data handling processes. 

 

  1. Under the California Consumer Privacy Act ("CCPA"), Nuvenu is classified as a "Service Provider'' rather than a "business" or "third party" in relation to your use of our Services. This designation signifies that we process the data you share with us exclusively for the purpose for which you signed up, and as outlined in these Terms, our Privacy Policy, and other related policies. We do not retain, utilize, disclose, or sell any of this information for any other commercial purposes unless we have obtained your explicit consent. Conversely, you agree to abide by your obligations under the CCPA and commit not to use Nuvenu's Services in a manner that contravenes the regulations.

 

Copyright and Content Ownership

  1. All content posted on our Services must adhere to U.S. copyright law.

 

  1. You grant us a limited license to utilize the content you and other users post in order to provide the Services to you. However, we do not assert any ownership rights over these materials. Any materials you submit to the Services remain your own.

 

  1. While we do not pre-screen content, we retain the right (though not the obligation) to reject or remove any content available through the Service at our sole discretion.

 

  1. The Company and its licensors possess all rights, titles, and interests related to the Services, including all intellectual property rights. Your use of the Services does not confer any ownership rights upon you. Without express written permission from the Company, you may not replicate, copy, or reuse any part of the HTML, CSS, JavaScript, or virtual design elements. For promotional purposes, you must seek permission to use the Company's logos or any Service logos. We reserve the right to revoke permissions if you violate these Terms.

 

  1. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Services, your use of the Services, or access to the Services without the express written consent of the Company.

 

Features and Bugs

We carefully design our Services, drawing from our own expertise and the valuable feedback provided by our users. However, it's important to recognize that no service can cater to the preferences and expectations of every individual. We cannot guarantee that our Services will align perfectly with your specific requirements or expectations.

 

We conduct thorough testing of all our features before making them available to users. Yet, like any software, our Services may still contain some bugs. We diligently track and prioritize reported bugs, particularly those related to security and privacy. It's important to note that not all reported bugs will be addressed, and we cannot assure a completely error-free experience with our Services.

Liability

It is essential to consolidate the matter of liability within these Terms:

 

You explicitly acknowledge and agree that the Company shall not be liable, in law or in equity, to you or any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive, or exemplary damages. These damages may include, but are not limited to, damages for the loss of profits, goodwill, use, data, or other intangible losses, even if the Company has been informed of the possibility of such damages. These damages may result from:

  2. The cost of procuring substitute goods and services arising from any goods, data, information, or services purchased or obtained, or messages received or transactions entered into via the Services.

  3. Unauthorized access to or alteration of your transmissions or data.

  4. Statements or conduct of any third party on the Service.

  5. Any other matter relating to these Terms or the Services, whether arising as a breach of contract, tort (including negligence, whether active or passive), or any other theory of liability.
